Story details

Ausgold announced on 28 October that the foreign-investment condition for its proposed acquisition by OceanaGold had been satisfied. The proposed transaction would use a scheme of arrangement requiring court approval through an indirect, wholly owned Australian subsidiary of OceanaGold.

According to Ausgold, OceanaGold received written confirmation through the Foreign Investment Review Board process that the Australian Commonwealth Government had no objection to the scheme. The notice links this clearance to the condition in the scheme implementation deed dated 17 August 2026.

The proposal remains subject to other conditions, including approval by Ausgold shareholders and the required court approval. Clearing one condition does not mean that all transaction conditions have been met or that ownership has already transferred.

The announcement concerns the regulatory progress of the proposed corporate transaction. It does not report new mine production, construction completion or a revised mineral resource. Further transaction steps remain dependent on the outstanding approvals and the scheme process.
