Story details

Talga Group announced on 28 October a binding offtake term sheet with Japan’s Dainen Materials for Talnode-C natural graphite anode material from Sweden. The agreement follows a July letter of intent and product testing against specifications used by Dainen’s battery customers. It advances the commercial relationship without completing every term of future purchases.

The term sheet provides a binding reservation of up to 2,000 tonnes per year of capacity for Dainen or its customers. The intended term is five years from an expected delivery start in late 2027, with extension rights. Final purchase volumes will be confirmed in a definitive Master Supply Agreement, so reserved capacity should not be presented as guaranteed annual deliveries.

The commercial framework links pricing to a negotiated floor and a mutually agreed premium associated with supply-chain eligibility, environmental performance and traceability. The stated pricing basis is US dollars, ex works. Talga did not disclose a final unit price or total contract value, and those amounts cannot be inferred solely from the reserved tonnage.

Both parties are obliged to use commercially reasonable efforts to execute the definitive agreement by March 2027. Talga described the step as support for a Western supply chain serving Japanese battery manufacturers. The binding elements concern capacity reservation, the commercial framework and negotiation obligations; product qualification by customers, final volumes and the expected delivery timetable remain important conditions for the next stage.
